Remembrance: Catherine Therese Dixon

Catherine Dixon, who dedicated many years to the SEC, passed away on March 6, 2025. Catherine was Chief Counsel of the Division of Corporation Finance. She previously served as Chief of that Division’s Offices of Mergers & Acquisitions and Disclosure Policy (rulemaking), respectively, and as Counsel to SEC Commissioner Steven M.H. Wallman.

Catherine also served as a trial attorney in the Antitrust Division of the U.S. Department of Justice (through the Department’s Honors Program), before joining the SEC in the appellate litigation section of the Office of the General Counsel.

“Cathy cared deeply about the SEC’s mission and its people,” said SEC Historical Society Chair Meredith Cross. “She did so much to mentor younger lawyers at the SEC and in private practice, and epitomized what it means to be a dedicated public servant. I was blessed to have shared a close friendship with Cathy for many years and feel an immeasurable loss with her passing.”

In 2023, Catherine retired from Weil, Gotshal & Manges, LLP, where she worked as a partner in their Washington, D.C. office for twenty-five years.

She was a leader in corporate law, business transactions, and disclosure.

Catherine was a recognized authority on the federal securities laws, as amended over the past decade by the JOBS Act of 2012, the Dodd-Frank Act of 2010 and the Sarbanes-Oxley Act of 2002.
